If you do not agree to these terms, do not use this website or submit any information. By submitting information or clicking “I Agree” or any similar checkbox, you confirm that you have read and understood these Terms, are authorized to bind your company (if applicable), and agree to be legally bound by this agreement.
1. Legal Capacity and Website Use By accessing this website, you confirm that you are of legal age in your jurisdiction and have the authority to enter into a binding agreement with RCS. If you are acting on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Privacy Policy Your use of this website is also subject to our Privacy Policy, which is hereby incorporated by reference into these Terms. Please review it for information on how we collect, store, and use data.
3. Services Provided RCS provides parcel auditing services to identify late shipments eligible for carrier refunds. By submitting your carrier login credentials, you authorize RCS to access and audit your shipment data and submit refund claims to UPS and/or FedEx on your behalf.RCS will act as your exclusive provider of auditing services during the term of engagement. Reports are delivered weekly, and no client action is typically required unless other arrangements are made.
4. Fees and Payment RCS charges 50% of the actual credits/refunds successfully recovered from your carrier(s), unless a different fee has been agreed to in writing for high-volume or custom arrangements. Audit savings refer to actual, verified credits, refunds, or adjustments posted to the Client’s shipping account as a direct result of RCS’s audit and claim submission efforts. If no refunds are secured, you owe nothing.Invoices are issued monthly and are payable NET 30. Invoices not disputed within 15 calendar days of receipt are considered accepted. Invoices unpaid after 30 days may result in service suspension and may be subject to additional collection efforts as necessary.
5. Confidentiality & Non-Disclosure Both parties agree to maintain strict confidentiality regarding all non-public information shared during the course of business. This includes, but is not limited to, carrier login credentials, shipping data, audit reports, pricing structures, and operational methods (“Confidential Information”).RCS will not disclose or share Client information without express written consent, except as required by law or by court order. All RCS staff and affiliates with access to such information are contractually bound by confidentiality. Upon termination or upon written request, each party agrees to promptly return or securely destroy all Confidential Information and confirm destruction in writing if requested.This clause survives termination of the relationship.
6. Good Faith Cooperation Both RCS and the Client agree to work together in good faith. This includes open communication, prompt responses, and reasonable cooperation to facilitate the successful delivery of services. The Client acknowledges that delays in granting access or providing information may impact RCS’s ability to perform.
7. Termination Either party may terminate this agreement with 60 days’ written notice. Client agrees to pay all outstanding undisputed invoices by the termination date.
8. Independent Relationship RCS is an independent contractor and is not an agent, employee, or legal representative of the Client. RCS may not bind or obligate the Client in any way.
9. Website Conduct and Use Restrictions You agree not to misuse this website or interfere with its functionality. This includes, but is not limited to, attempting unauthorized access, uploading malicious software, engaging in fraudulent behavior, or using the site in any way that violates laws or infringes on the rights of others.
10. Data Use & Responsibilities By submitting shipping login credentials or using this website, Client represents that they are authorized to act on behalf of their company and that all data provided is accurate and complete.Client agrees to cooperate as needed to facilitate RCS’s access and audit process.
11. Intellectual Property All content, audit tools, methodology, website code, documentation, and branding—including but not limited to www.RCSaudit.com, www.WeeklyAudit.com, and www.MonthlyAudit.com—are the sole property of Recovery Control Systems, LLC.Use of this site or services does not transfer ownership or grant license beyond limited usage necessary for audit reporting.
12. Indemnification You agree to indemnify and hold harmless RCS, its employees, contractors, and affiliates from any claims, damages, or legal costs arising from your misuse of the website, breach of these Terms, or violation of any applicable law. You also represent that any data, access, or credentials provided do not violate any third-party agreement or obligation and agree to indemnify RCS from any claim arising from such disclosures.
13. No Legal or Tax Advice The information and services provided by RCS are operational in nature and do not constitute legal, financial, or tax advice. Clients are encouraged to consult their own advisors for such matters.
14. Limitation of Liability RCS does not guarantee carrier performance, refund eligibility, or uninterrupted access to carrier systems. All services are provided “as is” without warranties of any kind, express or implied.RCS shall not be liable for:Missed refunds due to carrier platform restrictions
Platform outages or system errors beyond RCS control
Loss of business, indirect damages, or consequential costs
Maximum liability under this agreement shall not exceed the total amount paid by Client within the last 90 days.
15. Force Majeure RCS shall not be responsible for service interruptions caused by factors beyond its control, including but not limited to natural disasters, internet outages, legal mandates, or force majeure events. In such cases, performance will be excused and timelines extended accordingly.
16. Modifications to Terms RCS may update these Terms at any time. Continued use of the website after changes constitutes acceptance of the modified Terms. Clients are responsible for reviewing the Terms periodically. Any material changes to signed agreements must be made in writing and approved by both parties.
17. Governing Law These Terms shall be governed exclusively by the laws of the State of South Carolina, without regard to its conflict of law provisions. Any dispute arising out of or related to this agreement shall be resolved in the courts of South Carolina.
18. Entire Agreement These Terms, along with any submitted forms and related documentation, represent the entire agreement between Client and RCS, superseding all prior communications or understandings. No waiver or amendment shall be valid unless in writing and signed by both parties.
19. Assignment This agreement may not be transferred or assigned by either party without the prior written consent of the other, except that RCS may assign this agreement to a successor entity in the event of a merger or acquisition.
20. Social Media Notice Any comments made on RCS’s social media platforms are the responsibility of the users who posted them. RCS is not responsible for the accuracy, legality, or tone of third-party comments and reserves the right to moderate or remove content without notice.
21. Copyright and IP Rights All materials on this website—including content, images, logos, and code—are protected under copyright and intellectual property laws. You may not copy, reuse, or distribute any content without written permission from RCS.
